1. Acceptance of Terms

Welcome to AccountingPipe. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the service.

These Terms apply to all users of AccountingPipe, including without limitation users who are browsers, customers, and contributors of content.

2. Service Description

AccountingPipe is a document automation service that:

• Receives receipts and bills via email or direct upload
• Extracts data using AI-powered optical character recognition
• Organizes and categorizes financial documents
• Syncs extracted data to connected accounting platforms (Xero, QuickBooks)
• Provides document management and approval workflows

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Account Registration and Security

To use AccountingPipe, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 18 years of age
• Promptly notify us of any unauthorized account use
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to access your account except through authorized multi-user features within organizations.

4. Subscription and Payment Terms

4.1 Free Trial

New users receive a 7-day free trial. No credit card is required to start your trial. At the end of the trial period, your account will be limited until you subscribe to a paid plan.

4.2 Paid Subscriptions

Subscriptions are billed monthly or annually in advance. By subscribing, you authorize us to charge the payment method on file for the subscription fee plus applicable taxes.

4.3 Payment Processing

All payments are processed securely through Stripe. We do not store your complete credit card information on our servers.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or years, except as required by law.

4.5 Price Changes

We may change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing period.

5. Acceptable Use Policy

You agree not to:

• Use the service for any illegal purpose or in violation of any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the service or related systems
• Interfere with or disrupt the service or servers
• Use automated systems to access the service except through provided APIs
• Impersonate others or misrepresent your affiliation with any person or entity
• Use the service to process documents you don't have rights to
• Share your account with unauthorized users

Violation of this policy may result in immediate account termination without refund.

6. Data Ownership and Usage

You retain all ownership rights to your documents and data. By using AccountingPipe, you grant us a limited license to:

• Store and process your documents to provide the service
• Use AI services (Anthropic Claude) to extract data from your documents
• Sync data to your connected accounting platforms as directed by you
• Create backups for service reliability

We will not sell your data or use it to train AI models. See our Privacy Policy for details on how we handle your information.

7. Third-Party Integrations

AccountingPipe integrates with third-party services including Xero and QuickBooks Online. By connecting these integrations:

• You authorize us to access and sync data with these platforms on your behalf
• You agree to the terms of service and privacy policies of those platforms
• You acknowledge that we are not responsible for the availability or functionality of third-party services
• You understand that integration functionality may change if third-party APIs are modified

8. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The service may be unavailable due to:

• Scheduled maintenance (announced in advance when possible)
• Emergency maintenance or security updates
• Third-party service outages
• Force majeure events beyond our control

We will make reasonable efforts to notify users of planned downtime.

9. Intellectual Property

The AccountingPipe service, including its code, design, logos, and content, is owned by Hackney Enterprises Inc. and protected by intellectual property laws. You may not:

• Copy, modify, or reverse engineer the service
• Use our trademarks without permission
• Create derivative works based on the service
• Remove or modify any proprietary notices

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• AccountingPipe is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount you paid in the 12 months prior to the claim
• We are not responsible for data loss; you should maintain your own backups
• We are not liable for errors in AI-extracted data; you are responsible for reviewing accuracy

Some jurisdictions do not allow limitations on warranties or liability, so these limitations may not apply to you.

11. Account Termination

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Your data will be retained for 90 days after termination, after which it will be permanently deleted.

11.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms of Service
• Your account is used for fraudulent or illegal activities
• Payment for your subscription fails
• We are required to do so by law

We will provide reasonable notice before termination unless immediate action is required for security or legal reasons.

12. Changes to Terms

We may update these Terms from time to time. When we make significant changes:

• We will update the version number and "Last Updated" date
• We will notify you via email or through the service
• You will be required to accept the new terms to continue using the service

Continued use of the service after changes are posted constitutes acceptance of the new terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where Hackney Enterprises Inc. is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or the service will be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

14. Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and AccountingPipe.

Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
